Terms of Use

These Terms of Use are a binding agreement between you and Silt Capital LLC (“Silt Capital,” “we,” “us,” “our”) and govern your access to and use of siltcapital.com and every page, tool, calculator, guideline, rate table, application form, upload link, and portal we make available through it (together, the “Site”). By accessing or using the Site, or by submitting information through it, you accept these terms and our Privacy Policy and Disclosures, each of which is incorporated here by reference. If you do not agree, do not use the Site.

If you use the Site on behalf of a company, partnership, trust, or other entity, you represent that you are authorized to bind that entity, and “you” means both you and that entity.

Silt Capital makes loans solely for business, commercial, and investment purposes, secured by non-owner-occupied real property. We do not originate consumer credit. Nothing on the Site is an offer of consumer, personal, family, or household financing, and we do not finance primary residences or second homes.

• Loan proceeds may not be used for personal, family, or household purposes.
• The subject property may not be occupied as a residence by the borrower, any guarantor, or an immediate family member of either.
• Every borrower and guarantor must certify the business purpose of the loan and the occupancy status of the property at application and again at closing.
• Misstating the purpose of a loan or the occupancy of a property is loan fraud and may result in acceleration of the loan and civil or criminal liability.

Nothing on the Site — including program pages, guideline summaries, the downloadable lending guidelines PDF, rate pages, rate forecasts, calculator output, indicative quotes, email correspondence, or a submitted application — constitutes an offer, commitment, or obligation to lend, an approval, or an agreement on any specific terms. All loans are subject to a complete application, underwriting, appraisal and valuation, title and insurance review, entity and background diligence, credit approval, satisfactory final documentation, and available capital. We may decline any request, or change or withdraw indicative terms, at any time and for any lawful reason. Only a signed term sheet and executed loan documents create binding obligations, and each is governed by its own terms, which control over anything on the Site.

• Rates, points, fees, leverage limits, and program parameters shown on the Site are illustrative starting points, are subject to change without notice, and vary by borrower, guarantor, entity, property, market, structure, and file.
• Rate forecasts, indexes, and market benchmarks are drawn from third-party sources, may be delayed, incomplete, or inaccurate, and are provided for general information only.
• Calculator, DSCR, and payment outputs are estimates generated from the values you enter. They are not an underwrite, a quote, or a statement of any actual payment obligation.
• Where information on the Site conflicts with a signed term sheet or executed loan documents, those documents control.

You agree that all information and documentation you submit through the Site — including applications, financials, leases, entity records, and identity documents — is true, accurate, and complete, that you are authorized to submit it, and that you will promptly correct anything that changes or turns out to be inaccurate. Brokers and other intermediaries represent that they hold their client’s authorization to submit that client’s information to us. We rely on what you submit in deciding whether and on what terms to lend, and we may verify it through third parties.

You may not, and may not permit anyone else to:

• Use the Site for any unlawful purpose, or to submit false, fraudulent, or misleading information.
• Interfere with or compromise the Site's operation, integrity, or security, or attempt to access accounts, files, portals, or data you are not authorized to access.
• Scrape, crawl, harvest, mirror, or systematically extract content, rates, or guidelines, or use the Site to build or train a competing product or service.
• Share portal credentials, upload links, or borrower file links with anyone not authorized to see the underlying file.
• Upload malware, or content you do not have the right to provide to us.

We may suspend or terminate access to the Site, a portal account, or an upload link at any time, with or without notice.

The Site and its content — text, guidelines, program descriptions, templates, checklists, field notes, design, layout, graphics, logos, and marks — are owned by Silt Capital LLC or its licensors and are protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Site, and to download materials we expressly offer for download, solely for your internal evaluation of a transaction with us. All other reproduction, distribution, modification, or commercial use is prohibited without our prior written permission.

Content on the Site, including field notes, guidelines, market commentary, and forecasts, is general information only. It is not legal, tax, accounting, appraisal, brokerage, or investment advice, and no fiduciary or advisory relationship is created by your use of the Site. You should not rely on it, and you agree that you have not relied on it, in making any decision. Consult your own attorney, accountant, and advisors before acting.

The Site links to and incorporates third-party sites, market data providers, and service providers. We do not control and are not responsible for their content, availability, accuracy, security, or practices, and a link is not an endorsement. Your use of a third-party service is governed by that provider’s terms.

The Site is provided “as is” and “as available,” without warranties of any kind, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty as to accuracy, completeness, currency, security, or uninterrupted or error-free availability. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

To the fullest extent permitted by law, Silt Capital LLC and its members, managers, officers, employees, agents, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunities, lost financing, delay, or lost or corrupted data, arising out of or relating to the Site, its content, or your reliance on it — even if advised of the possibility. Our aggregate liability for all claims relating to the Site will not exceed one hundred U.S. dollars ($100). These limits do not apply where prohibited by law, and do not limit obligations created by a signed term sheet or executed loan documents.

You agree to indemnify, defend, and hold harmless Silt Capital LLC and its members, managers, officers, employees, and agents from and against any claims, losses, liabilities, damages, and expenses, including reasonable attorneys’ fees, arising from your use or misuse of the Site, your breach of these terms, your submission of inaccurate or unauthorized information, or your violation of any law or third-party right.

These terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. You and Silt Capital submit to the exclusive jurisdiction and venue of the state and federal courts located in Miami-Dade County, Florida, and each waives any objection to that forum and, to the extent permitted by law, any right to a jury trial.

We may revise these terms at any time by posting an updated version on this page with a new effective date. Continued use of the Site after changes are posted constitutes acceptance of the revised terms. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver of it.
